1. Accounts
To use the service you must register a tenant account, provide accurate information, and keep your password secure. You are responsible for all activity under your account and for the actions of users you invite (admins, managers, and employees).
2. Subscription & billing
- Plans are billed monthly or annually through Stripe based on the plan you selected.
- If a payment fails we enter a 7-day grace period during which you keep full access. After grace your tenant moves to past_due and then suspended; access is restricted to billing and profile until you resolve payment.
- Trials are 30 days. At trial end we will attempt to charge the payment method on file; if none exists, the tenant is locked to billing.
- Refunds are at our discretion and handled case-by-case.
3. Plan features & limits
Available features (locations, employees, geofencing, AI insights, reports, integrations) depend on your plan. Server-side enforcement applies — exceeding limits will block the affected action and prompt an upgrade.
4. Your data
You retain ownership of all data you and your employees enter. We store and process it strictly to deliver the service, as described in our Privacy Policy. You can export timesheets, payroll, and reports at any time while your subscription is active.
5. Acceptable use
You agree not to misuse the service. The full list of prohibited activities is in our Acceptable Use Policy. Violations may result in immediate suspension.
6. Payroll services
- Smartclocksystems is not a tax-filing payroll bureau. We pay 1099 contractors directly via ACH and we sync hours to Gusto for W-2 payroll. Tax filings, W-2/1099 issuance, and remittance to authorities are the responsibility of you and your payroll provider.
- You authorize us to debit your linked bank account for 1099 payouts you initiate from the platform.
7. SMS & email
By providing a phone number, users consent to receive operational SMS (clock reminders, schedule alerts, security codes). Standard message rates apply. Reply STOP to opt out. Quiet hours are enforced unless the message is flagged urgent.
8. Service availability
We target 99.9% uptime. Planned maintenance is announced in advance. We are not liable for downtime caused by Supabase, Stripe, Twilio, or other third-party providers, force majeure, or your network.
9. Termination
You may cancel any time from Subscription Management. Access continues until the end of the paid period. We may terminate accounts that violate these terms, fail payment for more than 30 days, or are inactive for more than 12 months.
10. Warranty disclaimer
The service is provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law.
11. Limitation of liability
Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data beyond what is recoverable from our standard backups.
12. Governing law
These terms are governed by the laws of the State of Texas, USA. Disputes shall be resolved in the state or federal courts located in Travis County, Texas.
13. Changes
We may update these terms; continued use after notice constitutes acceptance.
